WHOLESALE AGREEMENT: TERMS AND CONDITIONS
GENERAL ORDERING INFORMATION: PC Hydraulics (USA), Inc DBA Vagabond Vintage sells wholesale to the trade only. By placing an order, you are stating that you are an owner or representative of a valid retail or service business and that you are making tax-exempt purchases for resale.
MINIMUM ORDER: Due to many retailers affected by Covid 19, we have temporarily waived our $250 minimum order on this website only. Individual product minimums apply.
PAYMENTS: All first orders are COD or credit card. Credit terms (Net 30) may be granted to current domestic clients submitting a credit sheet containing financial institution information and at least three current credit-extending wholesale gift trade references. Credit terms are subject to approval by an outside credit-reporting agency. Allow six weeks from date of submission for open account terms, if granted. All past due accounts accrue interest at 18% APR (3% monthly). Delinquent accounts automatically revert to credit card only. Returned checks incur a $25 bank fee. You agree to pay any fees associated with an outside collection agency, including litigation expenses, in the event that your account is placed for collection. By providing a credit card number and expiration date, you are authorizing Vagabond to charge the credit card at the time an order or backorder ships. VAGABOND CHARGES CREDIT CARDS AT TIME OF SHIPMENT.
SHIPPING & HANDLING: Vagabond ships business-to-business only. Drop shipping is a special programs that must be followed only after you review this program and sign up at https://www.vagabondvintage.com/dropship. Vagabond utilizes common freight carrier, UPS and/or FedEx Ground. All shipping & handling charges are F.O.B. Atlanta, Georgia. Shipping & handling charges are estimated based on weight, dimensions and destination for our domestic clients. However, shipping & handling charges can vary, and Vagabond reserves the right to calculate reasonable shipping & handling charges for exceptions. International shipments require additional fees. Your signature of receipt constitutes full acceptance of all packages as stated on the bill of lading or electronic clipboard. You agree to count all packages and sign for the exact number of packages received. If your company refuses a shipment, it is agreed that you are responsible for all related shipping and return shipping charges incurred. Returned shipments may be subject to a 25% restocking fee. Make certain the address you supply to Vagabond is 100% accurate! This includes the street address, suite #, and zip code. UPS and FedEx charge an additional $12.00 per box for any and all address corrections. Occasionally business cards have an incorrect zip code or suite number. Even a minor error will incur this expense. Any address deemed residential by a carrier utilized by Vagabond may be subject to additional charges.
FREIGHT SHIPMENTS:SHIPMENTS MADE BY COMMON CARRIER MUST BE PREPAID. YOU MUST INSPECT ALL FREIGHT SHIPMENTS, AND NOTE ANY DAMAGES ON THE DELIVERY RECEIPT, BEFORE SIGNING. FREIGHT DAMAGE CLAIMS WILL NOT BE HONORED BY THE CARRIER UNLESS DOCUMENTED ON THE DELIVERY RECEIPT.
DAMAGE CLAIMS: Vagabond makes every effort to pack only first quality merchandise with carrier approved materials and insures all ground shipments. Vagabond is not responsible for damage in transit. You agree not to deduct from invoice for any damage claim. If your merchandise is damaged in transit, you agree to contact the shipping carrier and Vagabond directly WITHIN FIVE BUSINESS DAYS OF RECEIPT OF MERCHANDISE. You also agree to SAVE ALL ORIGINAL PACKAGING MATERIALS AND PRODUCT. Upon valid inspection by the carrier, Vagabond will contact you to resolve the problem. Freight damages must be noted on the delivery receipt at the time of delivery, before the carrier leaves the site, and before signing for the shipment. If damages are not noted on delivery receipt the carrier will not honor any damage claim.
RETURNS/DEFECTS/NO WARRANTIES: Any claim for defective merchandise or missing items must be reported to Vagabond via telephone (404-351-6484) or email (vagabond01@vagabondvintage.com) WITHIN FIVE BUSINESS DAYS FROM RECEIPT OF ORDER. Failure to report within five days will negate your claim. Vagabond does not accept returns on first quality wholesale merchandise for any reason. Any and all returns must be approved. CLEARANCE AND SALES ITEMS ARE FINAL, WITH NO RETURNS ACCEPTED UNDER ANY CIRCUMSTANCE. Any merchandise returned without a return authorization number will be refused. Vagabond Vintage is a wholesale distributor and not a manufacturer. PC Hydraulics (USA), Inc DBA Vagabond LEGALLY DISCLAIMS AND EXCLUDES EXPRESS AND IMPLIED WARRANTIES. This means that Vagabond does not guarantee or offer any form of warranty on our products for any reason. This “no warranty” policy includes the manufacturers and distributors involved in our purchasing process. When you purchase from Vagabond Vintage you hereby agree to this portion of our terms and conditions as well.
PRICING, MEASUREMENTS, AND AVAILABILITY: Vagabond ships items that conform to the samples shown at tradeshows, in showrooms, and in photographic images in its catalog and supplements. Vagabond does not ship substitutions. Small variations in size and color can be expected. Prices are subject to change without notice. Availability of all items ordered is not guaranteed. Measurements and photos are approximations only.
BACKORDERS: Vagabond honors all backorders. IF YOU DO NOT WANT YOUR BACKORDER, YOU MUST CANCEL IT IN WRITING VIA FAX OR EMAIL BEFORE IT SHIPS. BACK ORDERS SHIP WITHOUT NOTICE. Vagabond ships "as-ready" meaning that any item not ready at the time of shipment may be backordered. Items needing to "ship together" must be marked clearly on any correspondence.
E-COMMERCE POLICIES OF VAGABOND VINTAGE (Updated Jan. 5, 2021)
(1) An online retailer must be an existing customer.
(2) Online retailers must shoot their own photography on products (we don't supply high resolution images). Permission based use of web site only images is on a case-by-case basis.
(3) Online retailers can't use our name Vagabond Vintage, which is a registered trademark, in site ownership or page titles (see Note below):
(4) Merchandise must be ordered from us in advance (or you must sign up to utilize our drop ship program under separate agreement) to drop ship to your customers.
(5) Any other usage of our products on storefronts like Amazon or Ebay must be with our advance permission only.
Note - Companies that wish to have our name appear as a "brand" on the products is acceptable with our name as it appears "Vagabond Vintage" with terms intact, spelled correctly and not inverted - E.G. - Wooden Stool by Vagabond Vintage® is acceptable.

INTELLECTUAL PROPERTY: You agree not to reprint, post, or copy any photography, sales materials, or product designs generated by Vagabond in any form without expressed written consent of Vagabond. Vagabond protects its images and product designs via intellectual property law. You agree that you are purchasing product for resale only, and that you or your company is responsible for any legal fees associated with disputes arising from copyright infringement not associated with direct retail sale.
